Terms and Conditions

1. About these terms

These Terms and Conditions (“Terms”) govern your use of www.claude-automation.com (the “Website”) and the AI automation consulting services offered under the Claude Automation name (the “Services”) by Mindarora LLP, a limited liability partnership registered in India and headquartered in Bangalore, Karnataka, India (“Mindarora”, “we”, “us” or “our”).

By using the Website or engaging us, you agree to these Terms. If you are accepting them on behalf of a company or other organisation, you confirm that you have authority to bind it, and “you” refers to that organisation.

2. Who we are and what we do

Claude Automation is an AI automation consultancy. We help businesses identify processes suitable for automation and design, build, integrate, deploy and support AI workflows and agents — principally using Claude, a model developed by Anthropic, PBC. We are an independent consultancy and are not affiliated with, endorsed by or acting on behalf of Anthropic. “Claude” and “Anthropic” are trademarks of Anthropic, PBC, used here only to describe the technology we work with.

3. Using the Website

You may use the Website for lawful purposes only. You must not:

  • attempt to gain unauthorised access to the Website, its servers or any connected system;
  • introduce malware, or interfere with or disrupt the Website’s operation or security;
  • scrape, copy or republish substantial parts of the Website for commercial purposes without our written permission; or
  • use the Website to send unsolicited communications or to infringe anyone else’s rights.

Content on the Website is general information about our Services. It is not professional, legal, financial or technical advice for your specific circumstances, and examples of workflows and results are illustrative.

4. Engagements, proposals and free audits

Each paid engagement is governed by a written proposal, statement of work or services agreement (“Engagement Agreement”) that sets out scope, deliverables, timelines, fees and any special terms. These Terms apply to every engagement; if they conflict with an Engagement Agreement, the Engagement Agreement prevails for that engagement.

Introductory calls and free automation audits are offered without obligation on either side. Any estimates of effort, cost, time saved or value given during an audit or in a proposal are good-faith estimates based on the information available, not guarantees.

Proposals are valid for 30 days unless they state otherwise. Changes to agreed scope are handled through a written change request and may affect fees and timelines.

5. Your responsibilities

To help us deliver the Services, you agree to:

  • give us timely access to the people, information, systems and credentials reasonably needed, and keep that access appropriately limited;
  • ensure you have the rights, consents and lawful basis needed for us to access and process any data you provide or direct us to use, including personal data;
  • maintain accounts with, and comply with the terms of, any third-party services used in your workflows, such as AI model providers, CRMs and cloud platforms;
  • review and approve workflow designs, test results and go-live decisions, and nominate people to supervise workflows in production; and
  • use the workflows we deliver in accordance with applicable law and the acceptable use policies of the underlying AI providers.

6. AI-generated outputs

AI models are probabilistic. Even well-designed and well-tested workflows can produce outputs that are inaccurate, incomplete or inappropriate. Accordingly:

  • we design workflows with human review for consequential actions, and you are responsible for maintaining that review and for decisions made using AI outputs;
  • AI outputs should not be relied on as the sole basis for legal, medical, financial, employment or other high-stakes decisions without qualified human judgement; and
  • the performance of AI models may change as providers update them; we will support such changes as set out in your Engagement Agreement.

7. Third-party services

Our workflows rely on third-party products and services, including AI models, APIs, CRMs, email and cloud platforms. These are provided by their respective owners under their own terms, which apply between you and them. We are not responsible for the availability, security, pricing or changes of third-party services, although we will take reasonable steps to choose reliable providers and to work around disruptions.

8. Fees and payment

  • Fees are as stated in the Engagement Agreement and are exclusive of GST and other applicable taxes.
  • Unless agreed otherwise, invoices are payable within 15 days of the invoice date.
  • Third-party usage costs — such as AI model API usage, software licences and hosting — are payable by you, either directly to the provider or as pass-through costs, as set out in the Engagement Agreement.
  • We may pause work on an engagement if undisputed invoices remain unpaid more than 15 days after their due date, after giving you written notice.

9. Intellectual property

Website. The Website, including its text, design, graphics and code, is owned by or licensed to Mindarora and protected by intellectual property laws. You may view and print pages for your own internal use.

Your materials. You keep all rights in the data, content and materials you provide to us (“Client Materials”). You grant us a limited licence to use them solely to provide the Services.

Deliverables. Unless the Engagement Agreement says otherwise, on full payment you own the deliverables created specifically for you, such as workflow configurations, prompts and documentation.

Our pre-existing materials. We keep ownership of our pre-existing and generally applicable tools, code libraries, templates, methods and know-how, including improvements to them. Where these are incorporated into your deliverables, we grant you a non-exclusive, perpetual, royalty-free licence to use them as part of those deliverables for your internal business purposes.

10. Confidentiality

Each party will keep the other’s non-public business, technical and personal information confidential, use it only for the purposes of the engagement, and protect it with at least reasonable care. This does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, is independently developed, or must be disclosed by law (in which case, where permitted, the other party will be notified first). These obligations continue for three years after the engagement ends, and indefinitely for trade secrets and personal data.

11. Data protection

We handle personal data in line with our Privacy Policy and applicable law, including India’s Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000. Where we process personal data on your behalf, we act as your data processor and will enter into a data processing agreement on request.

12. Warranties and disclaimers

We will perform the Services with reasonable skill and care, using appropriately experienced people, and in accordance with the Engagement Agreement. If a deliverable does not materially conform to its agreed specification and you tell us within 30 days of delivery, we will correct it at no extra charge.

Except as expressly stated in these Terms or an Engagement Agreement, the Website and Services are provided “as is”, and to the fullest extent permitted by law we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any specific business result, time saving or return on investment.

13. Limitation of liability

To the fullest extent permitted by law:

  • neither party is liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, goodwill or data, however arising; and
  • each party’s total liability arising out of or in connection with an engagement is limited to the fees paid and payable to us under that engagement in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability for fraud, wilful misconduct, breach of confidentiality, your payment obligations, or any liability that cannot be limited by law. Use of the Website free of charge is at your own risk, and our liability for it is limited to the maximum extent permitted by law.

14. Indemnities

You will indemnify Mindarora against claims by third parties arising from Client Materials, from our use of data or systems in accordance with your instructions, or from your use of deliverables in breach of law or these Terms. We will indemnify you against third-party claims that deliverables we created, when used as agreed, infringe that party’s intellectual property rights. The indemnified party must promptly notify the other, allow it to control the defence, and give reasonable cooperation.

15. Term and termination

Either party may terminate an engagement by written notice if the other materially breaches these Terms or the Engagement Agreement and does not remedy the breach within 30 days of notice, or becomes insolvent. Either party may also terminate for convenience on the notice period set out in the Engagement Agreement.

On termination, you will pay for Services performed and costs incurred up to the termination date, we will hand over completed deliverables, and each party will return or delete the other’s confidential information and data as agreed. Sections that by their nature should survive termination will do so.

16. Non-solicitation

During an engagement and for 12 months after it ends, neither party will directly solicit for employment any member of the other party’s team who was materially involved in the engagement, without the other party’s written consent. General recruitment advertising is not solicitation.

17. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, epidemics, war, government action, or failures of third-party networks, cloud or AI providers, provided it notifies the other party promptly and takes reasonable steps to mitigate the effect. Payment obligations are not excused.

18. Governing law and disputes

These Terms and any engagement are governed by the laws of India. The parties will first try to resolve any dispute through good-faith discussions between senior representatives for 30 days.

Disputes not resolved this way will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Bangalore, India, and the language will be English. Subject to this, the courts at Bangalore have exclusive jurisdiction, including for urgent interim relief.

19. General

  • Changes. We may update these Terms from time to time; the “Last updated” date shows the latest version. Changes do not affect engagements already agreed unless both parties consent in writing.
  • Entire agreement. These Terms and any Engagement Agreement form the entire agreement between us about their subject matter.
  • Assignment. Neither party may assign its rights without the other’s consent, except to a successor in a merger or sale of substantially all its business.
  • Independent contractors. The parties are independent contractors; nothing creates a partnership, agency or employment relationship.
  • Severability and waiver. If any provision is unenforceable, the rest remain in effect. A failure to enforce a right is not a waiver of it.
  • Notices. Notices may be given by email to the addresses the parties have designated; ours is support@mindarora.com.
